Terms of Use

1. Acceptance of Terms

By accessing or using the kōdlo platform (our website at kodlo.ai and the application at app.kodlo.ai, together with related subdomains, APIs, and integrations — collectively, the “Platform”), you (“User”, “you”) agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. These Terms constitute a legally binding agreement between you (or the organization you represent) and Reinode Software (“Company”, “we”, “us”). If you are using kōdlo on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree with these Terms, do not use the Platform.

2. Description of Service

kōdlo is an agent-native sales workspace built for high-ticket B2B deals. The Platform provides:

Contact & Campaign Management: Organize prospects into campaigns, track statuses, and manage relationship timelines via a multi-tenant CRM.
AI Research Engine: Automated multi-step deep research and open-source market intelligence for company and contact profiling.
Outreach Drafting: AI-assisted drafting of first-touch emails, LinkedIn DMs, and engagement comments using your custom tone of voice.
Knowledge Hub: Upload and curate a per-workspace reference library of documents (PDF, DOCX, XLSX, CSV, and similar), which the AI agent can search to ground its responses.
Scheduling & Autonomous Agents: Configure recurring AI jobs to autonomously monitor pipelines, scan industry news, and draft outreach on a scheduled cadence.
Multi-Channel Integrations: Access to the AI agent via the web application, Telegram, and Google Chat.
File Attachments & Artifacts: Secure storage of files and AI-generated research reports within contact timelines.

Features may evolve over time. We reserve the right to add, modify, or discontinue features with reasonable notice.

3. Eligibility

You may use kōdlo only if:

You are at least 18 years of age.
You are using the Platform for lawful business or professional purposes only — whether on behalf of an organisation or as an individual professional (for example a sole trader, freelancer, or independent consultant). The Platform is not for personal or household use.
You are not located in a country subject to an EU, US, or UN trade embargo.
You have not been previously suspended or banned from the Platform.
You have the legal authority to enter into these Terms (on behalf of yourself or your organization).

4. Account Registration & Security

4.1 Registration

You must provide accurate, complete, and current information during registration. You agree to keep your account information updated.

4.2 Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. kōdlo secures user passwords using Argon2 hashing and employs JWT with refresh-token rotation. You must immediately notify us at info@kodlo.ai if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your account due to your failure to protect credentials.

4.3 One Account per User

Unless explicitly permitted under your organization’s plan, each user requires their own account. Account sharing is prohibited.

5. Acceptable Use

5.1 Permitted Uses

You may use kōdlo to:

Manage legitimate B2B prospect outreach and sales pipelines.
Research publicly available information about companies and professionals for sales or partnership purposes.
Draft personalized outreach messages in compliance with applicable laws.
Import contact data (e.g., via CSV or LinkedIn export) for which you have a lawful basis to process.

5.2 Prohibited Uses

You must not use kōdlo to:

Distribute spam or unsolicited mass messaging in violation of CAN-SPAM, GDPR, CASL, or other applicable anti-spam laws.
Harvest, scrape, or collect personal data from LinkedIn or any other platform in violation of their Terms of Service.
Impersonate any person, company, or entity.
Import stolen, purchased, or illegally obtained contact lists.
Circumvent rate limits, authentication systems, or access controls.
Reverse-engineer, decompile, or extract source code from the Platform.
Upload malware, viruses, or any harmful code.
Use AI features to generate harassing, defamatory, discriminatory, or otherwise unlawful content.
Resell or sublicense access to the Platform without written authorization from Reinode Software.
Attempt to manipulate, jailbreak, or interfere with the AI agent through prompt injection or similar techniques — including embedding hidden or malicious instructions in contacts, files, web pages, or other content processed by the agent — in order to override its safeguards, extract system prompts or confidential configuration, access data belonging to other workspaces or users, or cause the agent to perform unauthorized or unlawful actions.
Use the Platform, or permit it to be used, to make or materially inform decisions about natural persons concerning: employment or recruitment (including sourcing, screening, filtering, or evaluating candidates or workers); creditworthiness or access to credit; education or vocational admission or assessment; eligibility for essential private or public services (including insurance, healthcare, housing, or social benefits); law enforcement; or migration, asylum, or border control — or otherwise repurpose the Platform into any use classified as high-risk under Annex III of the EU AI Act (Regulation (EU) 2024/1689). kōdlo is B2B sales decision-support software and is not designed, intended, or permitted for such uses.

Violation of these terms may result in immediate account suspension.

6. Data Responsibilities

6.1 Your Data

You retain ownership of all data you submit to the Platform (“User Data”). By submitting User Data, you grant kōdlo a limited, non-exclusive license to process it solely to provide the Platform’s services to you. Every database query is automatically scoped to your workspace to ensure multi-tenant isolation. Business customers may enter into our Data Processing Agreement (DPA), which governs our processing of User Data on your behalf under Article 28 GDPR.

6.2 Third-Party Contact Data

When you import or enter personal data about third parties (prospects, contacts), you represent and warrant that:

You have a lawful basis to process that data under applicable law (GDPR, CCPA, etc.).
You will honor data subject requests (access, deletion) received for that data.
You will not use kōdlo to process sensitive personal data without appropriate safeguards.

6.3 AI-Generated Content

Content generated by kōdlo’s AI features (research summaries, drafted messages, analyses) is provided for informational and drafting purposes. You are solely responsible for reviewing, validating, and taking accountability for any AI-generated content before using it in your outreach or decision-making.

7. Subscriptions, Billing & Payments

7.1 Plans & Quotas

kōdlo offers subscription plans with unified AI usage quotas covering both chat tokens and web-search calls. When a workspace reaches 100% of its quota, generation tightens, and at 105%, chat capabilities are paused until renewal or upgrade.

7.2 Billing

Subscriptions are billed in advance.
Payments, taxes, and invoicing are processed by our Merchant of Record, Paddle.
By providing payment details, you authorize recurring charges until cancellation.

As our Merchant of Record, Paddle is the seller of record for your purchase; your transaction is therefore also subject to Paddle’s buyer terms and refund handling.

7.3 Enterprise & Gold BYOK

Enterprise and Gold plans support a Bring-Your-Own-Key (BYOK) model, under which you supply your own API keys for the large-language-model provider (Google Gemini, OpenAI, Anthropic, or Mistral), web search (Exa), and document OCR/embeddings (Mistral / Google). You are solely responsible for the billing, quotas, and compliance associated directly with your third-party API accounts used in conjunction with kōdlo.

7.4 Upgrades, Downgrades & Refunds

Plan changes take effect cleanly, with unused allowances rolling forward where applicable. When you downgrade or cancel, access to your current plan continues until the end of the billing period you have paid for. Refunds are handled by Paddle under our Refund Policy.

7.5 Price Changes

We may change subscription prices from time to time. A price change takes effect at the start of your next billing period, and we will notify you by e-mail and/or in-app notice at least 30 days before it applies to your subscription. If you do not agree with the new price, you may cancel before your next billing period begins; continued use after the change takes effect constitutes acceptance of the new price.

7.6 Free Trial

New workspaces may be eligible for a one-time free trial (currently 7 days). One free trial is available per customer / e-mail address; repeat subscriptions are not trial-eligible and are charged from checkout. Where payment details are provided at checkout, the subscription converts automatically into a paid subscription at the end of the trial and recurring billing begins, unless you cancel before the trial ends. Where no payment details were provided, access is paused at the end of the trial until you subscribe. Trial workspaces may have reduced quotas relative to paid plans.

7.7 Refunds

Refunds are handled through our Merchant of Record, Paddle, under our full Refund Policy and Paddle’s Buyer Terms (https://www.paddle.com/legal/buyer-terms). Unless required by applicable law, transactions are non-refundable and non-exchangeable. Paddle may, at its sole discretion, issue a refund where a request is submitted within 14 days of the transaction date, reviewed on a case-by-case basis, and will issue a refund where there is evidence of a material technical or product defect in accordance with applicable consumer-protection laws. Nothing in these Terms limits any statutory refund or withdrawal rights you may have. To request a refund, e-mail info@kodlo.ai from the account e-mail address with your workspace name and the Paddle transaction ID, or request it directly through Paddle.

8. Intellectual Property

8.1 Platform Ownership

kōdlo, its design, code, skill libraries, user interfaces, and all Platform-level content are the exclusive intellectual property of Reinode Software z o.o. No rights are granted except as expressly stated in these Terms.

8.2 Your Content & Artifacts

You retain all ownership rights to User Data you submit. Upon generation, and subject to your compliance with these Terms, you retain rights to the specific long-form artifacts (e.g., Markdown research reports) generated for your workspace.

8.3 Restrictions

You may not remove or obscure any proprietary notices, use the kōdlo branding without permission, or create derivative works based on the Platform or its underlying AI agent logic.

9. Third-Party Integrations

The Platform integrates with third-party services (Telegram, Google Chat, etc.). Your use of those services is governed by their respective terms. kōdlo is not responsible for changes to third-party APIs or actions taken by third-party services in response to your usage.

10. AI Features — Specific Terms

10.1 No Guarantee of Accuracy

AI-generated research and drafted messages may contain errors, hallucinations, or outdated information. kōdlo makes no warranty as to their accuracy or fitness for any particular purpose.

10.2 Human Oversight Required

You must review all AI-generated content before use. kōdlo drafts content; you are responsible for the final execution and distribution of that content.

10.3 Research & Intelligence Features

The AI research engine aggregates publicly available information via web search vendors (e.g., Exa). You agree to use research outputs only for legitimate B2B sales or partnership purposes, and in compliance with applicable data protection laws.

10.4 Scheduled and Autonomous Jobs

When utilizing kōdlo’s scheduling features for recurring AI tasks, you are responsible for actively managing and reviewing these jobs. You must ensure that scheduled recurring queries (such as continuous market monitoring or automated drafting) remain relevant to your business needs and do not persistently violate third-party platform rate limits or Acceptable Use policies. kōdlo reserves the right to pause or disable recurring jobs that are deemed abusive, consume excessive resources, or have been abandoned by inactive users.

10.5 AI Transparency

kōdlo is an AI-powered platform. When you interact with the agent, you are interacting with artificial intelligence, and the research, drafts, and analyses it produces are AI-generated content. We provide this notice consistent with applicable AI-transparency requirements, including Article 50 of the EU AI Act. By default, managed AI processing runs on Google Gemini (reasoning and embeddings) and Mistral (document OCR); OpenAI and Anthropic are optional providers used only where enabled by configuration or under BYOK. The providers we rely on are described in our Privacy Policy.

11. Availability & Maintenance

We aim for high availability, utilizing real-time WebSocket and Server-Sent Events infrastructure. However, we do not guarantee uninterrupted availability. We are not liable for losses caused by planned or unplanned downtime.

12. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Platform will be error-free, that AI-generated content will be accurate, or that the Platform will meet your specific business requirements.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REINODE SOFTWARE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, OR DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR YOUR RELIANCE ON AI-GENERATED CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits our liability for fraud, willful misconduct (wina umyślna), gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Reinode Software from any claims, damages, or expenses arising from your violation of these Terms, your use of the Platform, your processing of third-party personal data, or any claim that your User Data infringes a third party’s rights.

For Enterprise customers, and subject to the limitations set out in the applicable Enterprise agreement, kōdlo will defend you against third-party claims alleging that the Platform itself infringes their intellectual property rights.

15. Termination

15.1 By You

You may cancel your account at any time via the UI. Access continues until the end of the current billing period.

15.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, pose a security risk, or if required by law.

15.3 Effect of Termination

Upon closure, data is retained for a grace period (currently 7 days — see Section 8 of the Privacy Policy) allowing for one-click restoration. You may request an export of your User Data in a machine-readable format at any time while we retain your data by contacting info@kodlo.ai; we will fulfil export requests within the timeframes required by applicable law. Once the grace period elapses, the workspace is suspended and can no longer be restored. Its data is retained for up to 24 months (see Section 8 of the Privacy Policy) and is then permanently hard-deleted via a database-level cascade as part of kōdlo’s periodic data-cleanup operations — or earlier upon a verified deletion request. During the retention period, the e-mail addresses associated with the closed workspace cannot be used to register a new workspace.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-law principles. Any disputes shall be submitted to the court competent for the registered seat of Reinode Software in Poland.

Who the Platform is for. The Platform is a professional sales tool. It is offered to organisations and to individual professionals — including sole traders, freelancers, and independent consultants — who use it in the course of their trade, business or profession. Its functions (prospect research, campaign management, and commercial outreach) are business activities by their nature. The Platform is not offered to, marketed to, or directed at consumers, and is not intended for personal or household use. When you register, you confirm that you are acting for business or professional purposes and not as a consumer.

17. Changes to These Terms

We may update these Terms from time to time. We will update the “Last updated” date above. Continued use after the effective date constitutes acceptance of the revised Terms. Where changes are material, we will provide advance notice by e-mail and/or a prominent in-app notice, and we may require you to expressly re-accept the revised Terms before continuing to use the Platform.

18. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Reinode Software. If any provision is found unenforceable, the remaining provisions remain in full effect.

Assignment: You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force Majeure: Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control.

Notices: We may provide notices to you by email or via the Platform; notices to us must be sent to the contact in Section 19.
